1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you (the "Client" or "User") and Touch4Bill ("Company", "we", "us"). By registering an account, accessing the platform, or using any of our services, you confirm that you have read, understood, and agree to these Terms.

If you are accepting on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Touch4Bill provides cloud-based Point-of-Sale (POS) software and related services including:

• Cloud POS, Offline POS, and Offline Sync to Cloud variants.
• Canteen management and digital ordering systems.
• Inventory management, billing, GST reporting, and analytics modules.
• Mobile and web application access.
• Technical support and onboarding assistance.

We reserve the right to modify, suspend, or discontinue any feature of the service with reasonable prior notice.

3. Account Registration

To use Touch4Bill, you must:

• Provide accurate, complete, and current registration information.
• Maintain the confidentiality of your account credentials.
• Notify us immediately of any unauthorised access to your account.
• Be responsible for all activities conducted under your account.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Subscription & Payment

• Billing Cycle: Subscriptions are billed monthly or annually in advance as per the plan selected.
• GST: All prices are exclusive of GST. GST at 18% will be charged additionally as per Indian tax laws.
• Payment: Payment is due on the billing date. Failure to pay may result in service suspension.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle. No refunds are issued for unused periods.
• Price Changes: We may revise subscription prices with 30 days' prior notice by email.
• Trial Period: Free trials are offered at our discretion. No payment details are required during the trial unless explicitly stated.

5. Acceptable Use

You agree not to use Touch4Bill to:

• Violate any applicable law or regulation.
• Upload or transmit malware, viruses, or any malicious code.
• Attempt to gain unauthorised access to our systems or other users' accounts.
• Reverse-engineer, decompile, or disassemble the software.
• Resell or sublicense the service without written permission.
• Use the service in a way that could damage, disable, or impair our servers.
• Collect or harvest data about other users without their consent.

6. Intellectual Property

All intellectual property rights in the Touch4Bill software, website, logos, trademarks, and documentation are owned exclusively by Touch4Bill. Nothing in these Terms transfers any intellectual property rights to you.

You are granted a limited, non-exclusive, non-transferable licence to use the software solely for your internal business purposes during your active subscription period.

7. Data Ownership

Your data belongs to you. All business data you enter into Touch4Bill — including transactions, customer records, product data, and reports — remains your property.

• We will not access your business data except to provide support (with your permission) or as required by law.
• Upon termination, you may export your data within 90 days. After that, it is permanently deleted.
• We do not sell or share your business data with third parties.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the business relationship. This obligation survives termination of the agreement for a period of 3 years.

Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Touch4Bill shall not be liable for:

• Any indirect, incidental, special, or consequential damages.
• Loss of profits, revenue, data, or business opportunities.
• Service interruptions caused by force majeure, internet outages, or third-party failures.

Our total cumulative liability to you for any claim arising out of or related to these Terms shall not exceed the amount you paid us in the three months preceding the claim.

10. Disclaimer of Warranties

Touch4Bill is provided "as is" and "as available". We make no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that the service will be uninterrupted, error-free, or free of viruses. We strive for 99% uptime but do not guarantee it.

11. Termination

By you: You may cancel your subscription at any time through the account settings or by contacting us. Termination takes effect at the end of the current billing period.

By us: We may suspend or terminate your account immediately if you:

• Breach these Terms and fail to remedy the breach within 7 days of notice.
• Fail to make payment after a grace period.
• Engage in fraudulent or illegal activity.

Upon termination, your access to the platform ceases and your data is retained for 90 days for export before permanent deletion.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

13. Amendments

We reserve the right to update these Terms at any time. We will notify registered users via email at least 14 days before material changes take effect. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
